Terms of Service: This Agreement ("Agreement") is entered into by and between Visulon Inc. doing business as (Freedomboard.ai ) and the entity or individual accessing the Service or placing an order for the Service ("Customer" or "you"). This Agreement includes the terms and conditions outlined below and any Orders. If you are accessing or using the Service on behalf of your company, you confirm that you have the authority to accept this Agreement on behalf of your company, and any reference to "you" refers to your company.
The "Effective Date" of this Agreement is the earlier of (a) when Customer first accesses the Service through any online provisioning, registration, or order process or (b) the effective date of the first Order. This Agreement will govern Customer's initial purchase on the Effective Date and any future purchases made by Customer that reference this Agreement. Freedombaord.ai reserves the right to modify this Agreement as permitted in Section 19 (Modifications to Agreement).
Purchase from Reseller: If Customer purchases the Service from an authorized reseller of Freedomboard.ai ("Reseller"), Customer's use of the Service will be governed by this Agreement, with the exception of Section 19.14 (Reseller Orders) outlined below.
1) Overview
Freedomboard.ai provides a distinctive Service for visual collaboration, specifically designed to enable Users to create, collaborate, and consolidate communication through interactive online virtual whiteboards. As the Customer, you have complete control over the nature and content of all Customer Content that you submit to the Service.
2) The Service
2.1) Authorized Usage
During the Subscription Term, the Customer is allowed to access and utilize the Service solely for internal business or personal purposes, in accordance with the Documentation and this Agreement. This usage is subject to any usage limits specified in an Order. The Customer is also granted the right to copy and use the Software as part of their authorized usage of the Service.
2.2) Users
Only authorized Users are permitted to access and utilize the Service. Each User is required to maintain the confidentiality of their login credentials and must not share them with any other individuals. The Customer is responsible for ensuring that its Users comply with the terms of this Agreement and for any actions performed through their respective accounts. However, it is important to note that the Customer will not be held responsible for any misuse of accounts resulting from FreedomBoardĀ® breach of this Agreement.
2.3) Administrators
The Customer has the authority to designate a User as an administrator who will have control over the Customer's Service account. This includes the management of Users and Customer Content, as outlined in the Documentation. The designated administrator will have the necessary privileges and responsibilities to carry out these tasks effectively.
2.4) Using a corporate email address for registration
If you have created an account using an email address provided by your employer or another organization, you confirm that you have the authority to create an account on behalf of that entity. Furthermore, you acknowledge that FreedomboardĀ® may share your email address with the entity and grant them control over your account (referred to as the "Customer"). In the event of such account takeover, the administrator overseeing the account may have the ability to: (i) access, disclose, restrict, or remove information from the account, (ii) restrict or terminate your access to the Service, and (iii) prevent you from disassociating your account from the Customer at a later time.
2.5) Accessing Third-Party Boards
If you receive an invitation to join another Customer's board, you acknowledge that your access to that board, as well as any content you contribute, will be subject to the exclusive control of that other Customer.
2.6) Sharing Settings
Through the Service, you have the authority to determine with whom you share your boards, including the option to make them public. It is important to understand that FreedomBoardĀ® bears no liability for any unauthorized access or use of Customer Content resulting from your decisions or those of your Users to share a board.
3) Customer Content
3.1) Data Use
Customer grants Freedomboard.ai a non-exclusive, worldwide right to use, copy, store, transmit, and display Customer Content. Additionally, Freedomboard.ai is granted the right to modify and create derivative works of Customer Content as necessary for providing the Service, Support, and any Technical Services to the Customer under this Agreement. This grant of rights is limited to the extent required for Freedomboard.ai to fulfill its obligations outlined in this Agreement.
3.2) Security
Freedomboard.ai employs reasonable technical and organizational measures specifically designed to safeguard the Service and Customer Content. These measures are outlined in detail in the Security Policy, which describes the comprehensive approach taken by Freedomboard.ai to ensure the protection and security of both the Service and Customer Content.
